Enova: The Bank Charter Is Gone, the Guidance Is Not, and the Stock Reprices

Enova withdrew its OCC and Federal Reserve applications for the Grasshopper Bank acquisition while reaffirming 2026 guidance and promising faster buybacks. We test whether the overnight repricing measures lost funding optionality or an expectations reset.

Our view

Enova lends online to subprime consumers and small businesses and funds itself with securitizations, warehouse facilities and high-coupon senior notes, not deposits. The Grasshopper transaction, signed December 10, 2025, was its route to a national bank charter and to deposits that management said cost 300 to 400 basis points less than its securitizations. On September 14 the company withdrew its OCC and Federal Reserve applications, citing the absence of clear standards for nonbanks that want to become banks, while reaffirming 2026 guidance and promising faster repurchases. [1, 5, 6]

Two things were repriced at once: a specific, quantified path to cheaper funding and more states, and a judgment about regulatory posture toward the business model. The operating business, on the company's dated disclosures, has not changed. Whether the value removed overnight exceeds the value of the lost option is the research question; today's tape does not resolve it. This is a coverage priority, not a model entry. [1, 8]

Starting market state

The last completed session is Monday, September 14: ENVA closed at $226.72, up 1.4%, on 198,800 shares, against a 20-session average of about 269,000 shares and roughly $64 million of daily dollar volume. The release crossed at 16:10 Eastern, after that close, so Monday's price contains none of the news. Through Monday the stock was down 14.6% over 20 sessions from its August 14 closing high of $265.45 (52-week intraday high $267.45), up 65% over 120 sessions, and 60% above its $141.40 close on December 10, 2025, the day before the Grasshopper agreement was announced. The six-month range is $129.25 to $267.45. [18, 3, 20]

Premarket on September 15 was thin: the Yahoo one-minute series shows $193.45 at 11:07:00Z (-14.7% against the close) on sparse zero-volume prints, drifting to $177-$179 by 13:12Z; the StockAnalysis premarket losers page captured at 11:47:27Z ranked ENVA sixth at $187.00, -17.5%, on 857 shares. After the open, the captured regular-session quote was $170.45 at 16:03:10Z, -24.8%, on about 1.04 million shares by then, roughly 3.9 times a full average day. These are dated intraday observations, not a close or a completed reaction. [19, 23]

On the 24,898,371 shares outstanding at July 20, basic equity value was about $5.65 billion at Monday's close, $4.82 billion at the 11:07Z print and $4.24 billion at 16:03Z: roughly $0.8 billion to $1.4 billion removed, depending on the timestamp. [9]

What changed

The 8-K furnished at 16:15:15 Eastern on September 14 (Item 7.01, Exhibit 99.1) announces the withdrawal of the OCC and Federal Reserve applications for the Grasshopper Bancorp acquisition. CEO Steve Cunningham's stated reasons are regulatory: regulators lack clear standards for nonbanks seeking to become banks, and without them the process is susceptible to political pressure and outside advocacy. The release adds that Enova's growth does not depend on becoming a bank. [1, 2]

It reaffirms the July 23 guidance: third-quarter revenue growth around 25% and adjusted EPS growth around 30%; full-year revenue growth of 20% to 25% and adjusted EPS growth of 30% to 35%. CFO Scott Cornelis says the company intends to accelerate repurchases for the rest of 2026, with $218 million available under senior-note covenants and $349 million under the board authorization to June 30, 2027, both as of June 30. A call was held at 5:00 pm Eastern; the replay runs to September 21. [1, 25]

Three things the release does not say. It does not state that the merger agreement is terminated, and the 8-K carries no Item 1.02; the agreement lets either party terminate after December 5, 2026 (the 360th day from signing), extendable to the 450th day for a $5 million payment, with a $5 million fee payable by Enova in certain circumstances. It does not frame the withdrawal as a pause with a resubmission date; it reads as abandonment of this application. And it gives no updated third-quarter figures. [4, 7]

Dates to keep separate: agreement signed December 10, 2025, announced December 11 before the open; withdrawal disclosed September 14, 2026 at 16:10 Eastern; first pricing opportunity the September 15 premarket. The September 9 8-K, which we read, is unrelated: it furnishes a proposed $500 million OnDeck small-business securitization and OnDeck delinquency tables through July 31. The issuer feed shows no release after September 14 through our cutoff. [15, 16, 24]

Expectations

What the charter was worth, on the company's December 2025 framing: Grasshopper held about $3 billion of deposits at September 30, 2025; deposit costs were said to be 300 to 400 basis points below Enova's securitizations; revenue synergies of $175 million to $230 million were expected within two years from offering existing products in more states; and adjusted EPS accretion of more than 15% in the first full year and more than 25% thereafter. The price was about $369 million, half cash and half stock, with Grasshopper holders taking about 5.3% of the combined company. [5, 6, 7]

Our illustration, not guidance: replacing $1 billion of securitization funding with deposits 350 basis points cheaper would cut pretax interest by about $35 million a year, roughly $1.00 per diluted share after tax on about 26.3 million diluted shares, around 6% of the guided 2026 adjusted EPS midpoint. The company's accretion claim was larger because it included revenue synergies. Either way, the withdrawal removes value from a multi-year path, not from 2026 earnings, which never included Grasshopper. [6, 9]

Funding trace. Q2 revenue was $929 million, up 22% (small business +35%, consumer +12%); originations $2.29 billion, up 27%; combined loans a record $5.5 billion. After a $361 million fair-value charge the net revenue margin was 61%; net charge-offs were 7.3% of average balances versus 8.1% a year earlier, while 30-plus-day delinquency rose to 7.5% from 7.1%. Net income was $105 million, $4.00 diluted and $4.31 adjusted. The book is funded by $3.76 billion of securitization and facility debt at a 7.06% weighted rate plus $1.73 billion of corporate debt at 8.84%. Six-month operating cash flow of $1.02 billion was more than consumed by $1.39 billion of net loan investment, so growth ran on $450 million of net new borrowing; repurchases were $59 million. Liquidity was $929 million at June 30, down from $1.1 billion at March 31. Since then the company has upsized a consumer facility at a lower spread, sold $301 million of consumer ABS at 5.88% to 10.64% coupons, and proposed the $500 million OnDeck deal. Funding markets are open; the question is their cost relative to deposits. [8, 9, 10, 13, 14, 15]

Guidance versus consensus, the latter wire-reported only: 30% to 35% growth on 2025 adjusted EPS of $12.96 implies $16.85 to $17.50, which Benzinga set against a $17.02 estimate; 20% to 25% growth on $3.15 billion of 2025 revenue implies $3.78 billion to $3.94 billion against $3.86 billion; the Q3 guide of about $4.37 and $1.00 billion sat against $4.34 and $1.003 billion. We have not verified those estimates and found no dated analyst rating change we could cite. [11, 12, 17, 21, 22] Wire-relayed analyst actions on September 15, labelled as third-party opinion rather than company fact: TD Cowen Maintains Buy on Enova International, Lowers Price Target to $220 [26]; Citizens Maintains Market Outperform on Enova International, Lowers Price Target to $215 [27].

Observed response

Guidance unchanged plus faster buybacks is, on its face, a per-share improvement: $218 million spent at $193.45 would retire about 1.13 million shares, 4.5% of the basic count; at $170.45 about 1.28 million, 5.1%; the full $349 million authorization at $170.45 about 8%. The senior-note covenant, not the authorization, is the binding limit. Whether management spends at that pace will be visible in the Q3 release. [1, 9]

A decline of this size on unchanged numbers can mean the market is removing capitalized charter synergies, applying a lower multiple to a nonbank lender whose CEO has just called the regulatory process politically susceptible, or absorbing holders who owned the stock for the bank transformation. The evidence separates none of these today. A move shared with consumer-finance peers on matching windows would be different evidence from an idiosyncratic one. [19]

Comparable history and its limits

ChartLibrary's state packet for September 14 (requested and returned for 2026-09-14) classifies ENVA as an uptrend above its reference trend with price stuck below a recent high: 20-session return -14.6%, 120-session +65.1%, 26.3% above the 200-day average, 15.2% below the 52-week high, heavy overhead supply (0.71) and a quiet tape (relative volume 0.74). Its $5.96 billion cap basis reflects the vendor's share count, not ours. [20]

The memory returned 300 situation-and-shape analogs across 220 symbols and 216 sessions. Their historical five-session excess returns had a median of +0.35 points with a 10th-to-90th percentile span of -8.0 to +7.1 points; ten-session median +1.0, span -8.9 to +13.1. The packet's own note applies: it knows how much, not which way. It also describes the state at Monday's close, before the release; no analog is conditioned on a 15% to 25% overnight gap on a regulatory announcement, so the band describes the pre-news state, not what follows today's move. The closest neighbors (MRNA 2026-05-28, AVT 2026-08-25, HSY 2025-09-30) share shape, not industry or event. [20]

Reproducible price history ties the run to the deal in time: +11.7% on December 11, 2025, the announcement day, on 751,600 shares, and +60% from the pre-announcement close to Monday, while adjusted EPS grew 30% to 40% a quarter. How much of the 60% was the charter is not separable from prices alone. [18, 8, 11]

The countercase

The bear case is that the charter was the medium-term story. Without deposits, funding stays at 6% to 11% coupons through securitization markets that can close in stress; state rate limits and bank-sponsor lending remain exposures the charter would have reduced; and a CEO calling regulators susceptible to political pressure is a posture that can carry into other supervisory matters. Delinquency is edging up: consolidated 30-plus-day at 7.5% versus 7.1%, and OnDeck line-of-credit balances 61 or more days past due at 3.1% of principal on July 31 versus 2.4% at year-end, in the securitization subset disclosed September 9. Marketing spend rose 43% in Q2, faster than revenue. A 15% to 25% move in a liquid mid-cap may simply be the efficient answer. [8, 9, 16]

The bull case is that 2026 earnings never included Grasshopper, the balance sheet was refinanced in August at lower spreads, the cash and shares earmarked for the purchase are retained, and the buyback now has a stated intent behind it. [1, 13, 14]

What would change our view

Weaken the expectations-reset reading if the Q3 release shows repurchases well below the pace the covenant room allows, if originations growth or net revenue margin slips below the reaffirmed guide, if any regulator or state action follows, or if the company discloses a merger-agreement termination with costs beyond the $5 million fee. Strengthen it if Q3 lands at or above the 25% revenue and 30% adjusted EPS growth just reaffirmed, if the OnDeck Series 2026-1 notes price at or inside the August consumer deal's coupons, and if the buyback retires several percent of the count by year-end. A completed session that fails to hold Tuesday's range is information about positioning, not about the business.

What we will revisit

Record today's actual completed session (September 15) and then September 22 as the five-session window, counting today as session one; preserve the September 14 close and the 11:07Z and 16:03Z quotes as baselines. Listen to the September 14 call replay (available to September 21) for merger-agreement status, resubmission and buyback cadence. No Q3 release date has been announced as of our cutoff (the issuer events page lists no upcoming events); watch the issuer feed in early October. Watch for the OnDeck Series 2026-1 pricing 8-K and any Item 1.02 filing. A position would require its own decision; none is implied. The issuer's investor presentation page was not machine-accessible at the check time, so no slide deck on the withdrawal was reviewed; that remains a coverage gap.
