CoreWeave filed this morning for $3.0 billion of convertible notes due April 2033, with a $500 million option for the banks, and separately an at-the-market program for up to 35 million Class A shares. Coupon and conversion price come at pricing, after the close. There were 458.9 million Class A shares outstanding on July 31. 35 million is 7.6% of that. At Wednesday's $83.35 close the ATM is $2.9 billion of paper if it all prints there. Sales-agent commission is up to 2%.
In the same prospectus they said they have been signing short-dated contracts at about $40 million per megawatt, three to six months, added more than $25 billion of net new commitments between June 30 and August 11, and took contracted power from 3.7 to 4.2 gigawatts. Second-quarter revenue was $2.58 billion. Backlog was $104.2 billion. Debt around that quarter was about $36 billion.
The filing is a raise sitting next to a demand number. Premarket the stock is about $83, roughly unchanged. That is the tape treating $40 million per megawatt as the story and $3 billion plus the ATM as plumbing. Thursday's session prices both.

The other reading
A company with $104 billion of backlog and $25 billion of new commitments can raise $3 billion of converts and keep an ATM as working capital. If Thursday holds $83, the tape is right that $40 million per megawatt is the news and the paper is plumbing. Existing 1.75% converts due 2031 and 2032 already showed the bid for CoreWeave equity optionality.
What would change this
We are wrong if convert pricing is a high premium and a low coupon and the stock holds through five sessions, or if a later 8-K shows the ATM unused.
The wash reading is wrong if Thursday or the five-session window reprices the stock by most of the ATM's $2.9 billion of paper.
Inconclusive if neocloud names move together and the CoreWeave terms cannot be isolated.
The tape
CoreWeave closed the September 16 regular session at $83.35, up 3.0% from Tuesday's $80.92, on 18.4 million shares, a little under the 20-day average. Premarket at 07:58 ET the last print was $83.00, 0.4% below that close. It ranked third on Stocktwits and second on Yahoo in a 07:15 ET capture.
What was filed
The 8-K was accepted at 07:13 ET with Exhibit 99.1. The 424B5 ATM was accepted at 07:11 ET. Coupon, conversion rate and capped-call cap are not set. The $40 million per megawatt figure and the $25 billion of new commitments are in the prospectus, not a separate operating 8-K. The issuer news and presentations pages were not reachable at check time; this note uses the 8-K and the 424B5.
The numbers around the move
Second-quarter revenue was $2.575 billion, up 112%. Backlog $104.2 billion as of June 30, before the $25 billion of early-Q3 commitments. Our labelled reading: the tape is netting that demand print against $3.0 billion of converts and a 7.6% ATM, and this morning it is calling that a wash. Coupon and premium are still blank.

Not yet observed as a completed session after the filings. The September 16 regular close was $83.35, before the 8-K. Premarket at 07:58 ET the last print was $83.00. Session 1 is the September 17 regular session.
The comparison
